not having the knowledge, experience, or skills to deal with a particular subject or situation:

イギリス人にも意味を確認したところ、
=You are not prepared
=You haven’t got the ability to do something
=When you are trying to do something but you don’t have ability to do
=You're not prepare / lacking the ability to do something
とのこと。
つまり、「（何かをしようとしているが）能力が不足している」というニュアンスなんですね。
ちなみに、「I’m out of my depth.」として「I」（私）を主語にすることもできますが、「more often said about a third person」（第三者を主語にして使うことが多い）です。
